Agreement to these Terms

By creating an account, joining as a member, or otherwise using the Service, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation. If you do not agree, do not use the Service.

What Sentra Is — and Isn’t

Sentra Intelligence is an information and research service. It continuously monitors public regulatory filings and disclosures — insider and director dealings, activist campaigns, institutional accumulation, buybacks, contract awards and corporate actions — and compiles them into ranked, reasoned briefings.

The Service exists for ease, knowledge and research: to make public information faster to find, simpler to understand, and easier to study. It is designed to help you understand when the odds change — not to tell you what to do about it.

Sentra is not a broker, dealer, investment adviser, financial planner, or fiduciary, and the Service is not a personal recommendation, solicitation, or inducement to buy, sell, or hold any security. Everything Sentra publishes is general information about public data, the same for every member, and is impersonal by design. See Section 8.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You must not be barred from receiving the Service under the laws of your jurisdiction, and you are responsible for ensuring your use complies with all laws and regulations that apply to you.

Accounts

• You agree to provide accurate, current and complete information and to keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• Notify us promptly of any unauthorised use. We are not liable for losses arising from your failure to keep your credentials secure.
• Accounts are personal to you and may not be shared, resold, or used by more than one individual.

Membership & Billing

Membership is offered on a recurring subscription basis at the price displayed at checkout (currently £9.99 per month). By subscribing, you authorise us and our payment processor to charge your chosen payment method on a recurring basis until you cancel.

• Renewal. Your membership renews automatically at the end of each billing period at the then-current price. Fees are billed in advance.
• Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period, after which you will not be charged again. You retain access until the period ends.
• Price changes. We may change pricing on prospective renewals with reasonable notice. Founding members keep their original price for as long as their membership remains continuously active.
• Taxes. Prices are inclusive or exclusive of taxes as indicated at checkout; you are responsible for any applicable taxes.
• All fees are non-refundable, and payments already taken — including for partial billing periods, unused time, or periods following a cancellation — are not refunded except where a refund is required by law.

Payments are processed by a third-party payment provider; we do not store full card details. Your use of payment services is also subject to that provider’s terms.

Acceptable Use

You agree not to:

• copy, scrape, redistribute, resell, sublicense, or publicly display the briefings or any part of the Service without our written permission;
• reverse engineer, decompile, or attempt to derive the underlying models, scoring, or source data of the Service;
• use the Service to develop a competing product, or to train a machine-learning model;
• circumvent access controls, share your account, or use automated means to access the Service beyond what we expressly permit;
• use the Service for any unlawful purpose, including market manipulation, insider dealing, or any activity that breaches securities or market-abuse laws.

Intellectual Property

The Service, including its briefings, scoring, design, text, and branding, is owned by Sentra Intelligence or its licensors and is protected by intellectual-property laws. Underlying public filings are the property of their respective sources. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal, internal research while your membership is active. All rights not expressly granted are reserved.

Not Financial Advice

The Service does not provide financial, investment, legal, tax, or accounting advice. Nothing in the briefings, scores, memos, or any other part of the Service constitutes a personal recommendation or takes account of your individual circumstances, objectives, or financial situation.

The content is general information and research compiled from public sources, provided for ease, knowledge and research purposes only. Conviction scores, “bull” and “bear” cases, catalysts, and illustrative examples are analytical commentary on public data — not forecasts, price targets, or assurances of any outcome. Any examples naming specific securities are illustrative and may use approximate or constructed figures.

You are solely responsible for your own decisions. Before acting on any information, you should do your own research and seek advice from a licensed financial adviser or other professional authorised in your jurisdiction. No fiduciary, advisory, or agency relationship is created by your use of the Service.

Risk Notice

Capital is at risk. The value of investments can go down as well as up, and you may get back less than you invest. Past performance and historical patterns are not a reliable indicator of future results. Markets are volatile and individual securities — particularly smaller companies — can be illiquid and subject to sudden, significant loss.

Information may be delayed, incomplete, or inaccurate, and signals may not behave as historical patterns suggest. The Service does not guarantee the accuracy, completeness, or timeliness of any information, and it is not a substitute for professional advice or your own due diligence.

Sources & Accuracy

Briefings are compiled from public sources — including, among others, SEC EDGAR, the London Stock Exchange RNS, and national insider registers — keyed to the time information becomes publicly available. We take care in compiling the Service but make no warranty that any source data is accurate, current, or complete, and we are not responsible for errors, omissions, or delays in third-party data.

Disclaimers & Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error-free. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

Limitation of Liability

To the fullest extent permitted by law, Sentra Intelligence and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, trading or investment losses, data, or goodwill, arising out of or in connection with your use of (or inability to use) the Service — even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) £100. Nothing here limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification

You agree to indemnify and hold harmless Sentra Intelligence from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party.

Termination

You may stop using the Service and cancel your membership at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. On termination, the licence granted to you ends; sections that by their nature should survive (including Sections 7–13 and 16) will continue to apply.

Changes to the Service or these Terms

We may modify the Service and may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting a notice or updating the “last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute, except where mandatory local consumer-protection law provides otherwise. If any provision is found unenforceable, the remaining provisions remain in full force.
